A special resolution to alter the Bylaws as outlined below will be considered at the AGM
SPECIAL RESOLUTION TO ADOPT NEW BYLAWS AT AGM DOUGLAS PARK COMMUNITY ASSOCIATION
At our upcoming Annual General Meeting on November 21, we will seek a special resolution that the attached new bylaws be filed on behalf of Douglas Park Community Association (DPCA).
This memo is intended to alert all visitors and members to the new bylaws in advance of the AGM.
The special resolution states: BE IT RESOLVED AS A SPECIAL RESOLUTION THAT the current Bylaws of DPCA be deleted in their entirety and that the form of Bylaws attached hereto as Schedule 1 be adopted as the Bylaws of DPCA in substitution for, and to the exclusion of, the existing Bylaws of DPCA , and will take effect upon the electronic filing with the BC Registrar of Companies.
Any change to the constitution and bylaws is considered a special resolution under the Societies Act (BC) and accordingly must be passed at a meeting of members by a majority of not less than 2/3 of the votes.
This change to the bylaws is due to the introduction of the new Societies Act in 2016 and the Joint Operating Agreement between Douglas Park Community Association and the Vancouver Park Board.
We also wish to update our Bylaws so that they are in accordance with our current operating procedures.
The new Societies Act provides a comprehensive framework for societies and is based on transparency, flexible governance and increased member rights and participation. The Societies Act provides model bylaws that can be adopted, with or without changes, by the society.
The attached proposed bylaws are based on the model bylaws with some modifications to better suit DPCA.

Some notable features of our new proposed Bylaws include , but are not limited to , the following:
(a) membership is not automatic; if you wish to be a member you must register with DouglasPark, in person, by telephone, or online;
(b) there are two classes of members: adult and youth;
(c) membership automatically terminates each year on August 31;
(d) up to two members of the Board may be youth members; and
(e) notice of upcoming Annual General Meetings may be provided by posting two notices at DPCA and by sending a notice by email or mail to the member’s address.
Pursuant to the Joint Operating Agreement memberships are free of charge.
Please note that the new Societies Act requires us to keep a publicly producible register of all members and their contact information. This information must be maintained at the Centre in accordance with privacy legislation.
